Terms of Service

1. Agreement to Terms

By accessing or using XS Manufacturing's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Services Description

XS Manufacturing provides OEM/ODM lingerie manufacturing services, including but not limited to:

• Product design and development
• Sample production
• Mass production
• Quality control and inspection
• Export and logistics coordination

3. Order Terms

3.1 Minimum Order Quantity (MOQ)

MOQ requirements vary by product type and will be specified in quotations. Custom orders may require higher MOQs.

3.2 Quotations and Pricing

All quotations are valid for 30 days unless otherwise stated. Final pricing is subject to confirmation of specifications, materials, and order quantity.

3.3 Payment Terms

• New clients: 30% deposit upon order confirmation, 70% balance before shipment
• Established clients: Payment terms negotiable based on relationship and order history
• Accepted payment methods: T/T (Wire Transfer), L/C at sight

4. Production and Delivery

4.1 Lead Time

Standard production lead time is 30-45 days after sample approval and deposit receipt. Rush orders may be accommodated with additional fees.

4.2 Delays

XS Manufacturing is not liable for delays caused by force majeure, material shortages, customs delays, or other circumstances beyond reasonable control.

4.3 Shipping Terms

Standard terms are FOB Shantou. Other Incoterms available upon request. Buyer is responsible for customs clearance and import duties.

5. Quality Assurance

All products undergo rigorous quality control inspection before shipment. We maintain ISO 9001 and BSCI certifications. Materials comply with OEKO-TEX Standard 100.

Third-party inspection is welcome and must be arranged by buyer at buyer's expense.

6. Intellectual Property

6.1 Client IP

All designs, trademarks, and intellectual property provided by the client remain the client's property. XS Manufacturing will not reproduce client designs for other parties without written consent.

6.2 Confidentiality

We maintain strict confidentiality regarding client designs, specifications, and business information. Non-disclosure agreements available upon request.

7. Returns and Defects

7.1 Defect Claims

Claims for defective goods must be made within 7 days of receipt with photographic evidence. Defect rate exceeding 3% of order quantity may qualify for partial refund or replacement.

7.2 Non-Returnable Items

Custom-made products manufactured to client specifications are non-returnable unless defective.

8. Limitation of Liability

XS Manufacturing's total liability for any claim arising from services provided shall not exceed the total amount paid by client for the specific order in question.

We are not liable for indirect, incidental, special, or consequential damages including lost profits, revenue, or business opportunities.

9. Compliance and Ethics

XS Manufacturing operates in full compliance with Chinese labor laws, environmental regulations, and international standards including BSCI social compliance requirements.

We do not engage in child labor, forced labor, or any unethical manufacturing practices.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes shall be resolved through arbitration in Shantou, Guangdong.

11. Amendments

XS Manufacturing reserves the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of updated terms.
